The main difference between a one-step merger and a two-step merger is the length of time it takes to complete the merger. With a one-step merger, the purchaser enters into negotiations with the target and seeks the approval of the target's board of directors. The target's shareholders then vote on the merger, with a majority of votes needed to approve the merger. With a two-step merger, the purchaser first makes a tender offer to the target's shareholders.
